Terms of Service

These Terms of Service ("Terms") govern your access to and use of Convowa ("Convowa", "we", "us", "our"), a WhatsApp CRM and marketing automation platform operated by PrimeNexa Technologies, available at convowa.com and app.convowa.com (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and capable of forming a binding contract. You are responsible for the accuracy of your registration details, for safeguarding your credentials, and for all activity that occurs under your account. Notify us promptly at support@convowa.com if you suspect unauthorised access.

2. Your workspace and users

Each workspace is isolated and controlled by its owner. Workspace owners may invite team members and assign roles. You are responsible for the conduct of every user you invite and for ensuring their use complies with these Terms.

3. WhatsApp Business Platform

The Service connects to the WhatsApp Business Platform (Cloud API) operated by Meta. Your use of WhatsApp messaging through Convowa is additionally governed by:

You are solely responsible for complying with these policies. Meta may suspend or restrict your WhatsApp Business Account for violations, and such action is outside our control. Convowa is an independent product and is not affiliated with, endorsed, or sponsored by WhatsApp LLC or Meta Platforms, Inc.

Consent is your responsibility. You may only message people who have given you valid opt-in consent to be contacted on WhatsApp, and you must honour opt-out requests promptly. Sending unsolicited messages is the fastest way to get a number banned by Meta.

You agree not to use the Service to:

We may suspend or terminate accounts that violate this section, with or without notice where the violation is severe or ongoing.

5. Customer data

You retain ownership of the contact records, message content, and other data you upload or generate ("Customer Data"). You grant us a limited licence to host, process, and transmit Customer Data solely to operate and support the Service. For personal data of your customers, you act as the data controller and we act as your processor — see our Privacy Policy.

You represent that you have all necessary rights and consents to upload Customer Data and to message the individuals it describes.

6. Fees and billing

Paid plans are billed in advance on the interval shown at checkout. Fees are stated in Indian Rupees unless otherwise specified and are exclusive of applicable taxes. WhatsApp conversation charges levied by Meta are separate from Convowa subscription fees and are billed by Meta to your WhatsApp Business Account unless expressly stated otherwise.

Except where required by law, fees are non-refundable. We may change pricing with at least 30 days' notice; changes take effect at your next renewal.

7. Service availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, and we may modify or discontinue features. The Service depends on third-party systems — principally Meta's WhatsApp Cloud API — and we are not responsible for outages, rate limits, policy changes, or account actions originating from those systems.

8. Termination

You may stop using the Service and close your workspace at any time. We may suspend or terminate access for breach of these Terms, non-payment, or where required by law or by Meta. Upon termination, your right to use the Service ends immediately; you may request an export of your Customer Data within 30 days, after which it may be deleted in the ordinary course.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that messages will be delivered, that campaigns will achieve any result, or that the Service will be error-free.

10. Limitation of liability

To the maximum extent permitted by law, Convowa and PrimeNexa Technologies will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the Service will not exceed the amount you paid to us in the twelve months preceding the event giving rise to the claim.

11. Indemnity

You agree to indemnify and hold harmless Convowa and PrimeNexa Technologies against claims, damages, and expenses (including reasonable legal fees) arising from your Customer Data, your messaging activity, or your breach of these Terms or of Meta's policies.

12. Governing law

These Terms are governed by the laws of India. The courts at Kolkata, West Bengal shall have exclusive jurisdiction over any dispute arising from these Terms, subject to any mandatory consumer protections available to you.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
